1. PROMOTIONAL GIVEAWAY OVERVIEW
Hanley Wood Media, Inc. (“Zonda,” “we,” “us,” or “our”) is offering a promotional giveaway (the “Giveaway”) in connection with the Zonda Enterprise Certification program (the “Program”). This Giveaway is not a sweepstakes, lottery, contest, or game of chance. No element of chance is involved in the awarding of the prizes. The prizes will be awarded to the first twenty-five (25) eligible clients who successfully complete the Zonda Enterprise Certification program.
By participating in the Giveaway, you agree to be bound by these Official Terms and Conditions (“Terms”).
2. ELIGIBILITY
The Giveaway is open only to individuals who:
(a) Are legal residents of the United States;
(b) Are at least eighteen (18) years of age as of the date of participation;
(c) Successfully complete the Zonda Enterprise Certification program; and
(d) Are not employees, officers, directors, or contractors of Zonda or its parent companies, subsidiaries, affiliates, or advertising and promotion agencies, nor members of their immediate families or households.
Void where prohibited by law. Participation constitutes participant’s full and unconditional agreement to these Terms.
3. HOW TO PARTICIPATE
To be eligible to receive a prize, an individual must:
(a) Be an eligible Zonda client; and
(b) Successfully complete the Zonda Enterprise Certification program.
No purchase or payment is necessary to participate or receive a prize.
4. PRIZES
Twenty-five (25) prizes will be awarded. Each prize consists of one (1) The North Face backpack.
Approximate Retail Value (“ARV”) per prize: $101 USD
Total ARV of all prizes: $2,525 USD
Prizes are awarded “as is” with no warranties, express or implied. Prizes are non-transferable and no substitutions are permitted, except at Zonda’s sole discretion. Zonda reserves the right to substitute a prize of equal or greater value if the advertised prize becomes unavailable.
5. RECIPIENT SELECTION AND NOTIFICATION
The recipients will be the first twenty-five (25) eligible clients to successfully complete the Zonda Enterprise Certification program.
Recipients will be notified via email within ten (10) business days following their completion of the Zonda Enterprise Certification program. To claim the prize, the recipient must respond to the notification email within ten (10) business days and provide their full name and a valid U.S. shipping address.
Failure to respond within the specified timeframe may result in forfeiture of the prize, and Zonda may, in its sole discretion, award the prize to the next eligible client who completed the certification program.
6. GIVEAWAY FULFILLMENT
The prize will be shipped to the recipient at the U.S. mailing address provided within approximately four to six (4–6) weeks after verification and receipt of all required information. Zonda is not responsible for lost, stolen, delayed, or undelivered prizes.
The recipient is solely responsible for any applicable federal, state, or local taxes associated with receipt of a prize.
7. PRIVACY
Personal information collected in connection with the Giveaway will be used solely to administer the Giveaway and fulfill prizes, and will be handled in accordance with Zonda’s Privacy Policy. By participating, participants consent to such collection and use.
8. PUBLICITY RIGHTS
Except where prohibited by law, by accepting a prize, the recipient grants Zonda the right to use their name, likeness, and prize information for advertising and promotional purposes without additional compensation.
9. LIMITATION OF LIABILITY
By participating, participants agree to release and hold harmless Zonda and its parent companies, subsidiaries, affiliates, officers, directors, employees, and agents from any and all claims, injuries, losses, or damages arising out of or related to participation in the Giveaway or acceptance, possession, or use of any prize.
Zonda is not responsible for:
(a) Technical, hardware, software, or telecommunications malfunctions;
(b) Lost, interrupted, or unavailable network connections;
(c) Incomplete, garbled, or delayed transmissions;
(d) Any events beyond Zonda’s reasonable control that may disrupt or impair the Giveaway; or
(e) Any injury or damage arising from participation in the Giveaway or use of a prize.
10. GENERAL CONDITIONS
Zonda reserves the right, in its sole discretion, to cancel, modify, suspend, or terminate the Giveaway if fraud, technical failures, or other factors beyond its reasonable control compromise the integrity or proper functioning of the Giveaway.
Zonda also reserves the right to disqualify any individual who tampers with the participation process or violates these Terms.
11. GOVERNING LAW AND VENUE
These Terms and the Giveaway shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of laws principles. Any disputes shall be brought exclusively in the state or federal courts located in Orange County, California, and participants consent to such jurisdiction.
